WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES FEDERAL AND STATE LAW, IN NO EVENT SHALL CHUYS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to or use of, or inability to access or use, the Website or Services;

The limitations of liability set forth in this section shall apply regardless of the legal theory on which any claim is based (whether in contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages, and even if any remedy set forth herein fails of its essential purpose.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Chuys and its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses. You agree not to settle any such matter without our prior written consent.
10. Third-Party Links and Services
The Website may contain links to third-party websites, services, or platforms that are not owned or controlled by Chuys, including third-party delivery platforms, payment processors, and social media services. We have no control over and assume no responsibility for the content, privacy policies, practices, or terms of any third-party websites or services.
We strongly advise you to review the terms of service and privacy policies of any third-party websites or services you visit. Your use of third-party websites is entirely at your own risk and subject to the applicable terms and conditions of those third parties.
The inclusion of any link to a third-party website does not constitute an endorsement, recommendation, or approval by Chuys of that website, its content, or the products or services offered therein.
11. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which Chuys is registered and operates, without regard to its conflict of law principles.
To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or your use of the Services that is not subject to the arbitration provisions below shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.
These Terms are subject to applicable federal laws of the United States, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.), and the Computer Fraud and Abuse Act (18 U.S.C. § 1030). To the extent applicable, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) may apply to California residents.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact us at [email protected] and describe the nature of your dispute, and allow us a reasonable period of not less than thirty (30) days to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute through direct communication.
12.2 Binding Arbitration
If we are unable to resolve a dispute informally within thirty (30) days, you and Chuys agree that any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or any breach thereof shall be settled by binding arbitration administered by a recognized arbitration institution in the United States (such as the American Arbitration Association or JAMS) in accordance with its applicable commercial arbitration rules.
The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration shall be allocated in accordance with the applicable arbitration rules.
12.3 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT THE CLAIM WILL PROCEED ONLY ON AN INDIVIDUAL BASIS.
12.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
13. Term and Termination
These Terms shall remain in full force and effect for as long as you access or use the Website or Services. We may, in our sole discretion, terminate or suspend your access to all or part of the Website or Services at any time, with or without cause, and with or without notice, effective immediately.
Grounds for termination may include, but are not limited to:
- Breach of any provision of these Terms;
- Suspected fraudulent, abusive, or illegal activity;
- Actions that may cause legal liability or harm to us, our users, or third parties;
- Extended periods of account inactivity;
- Our decision to discontinue the Website or Services.
Upon termination: (a) your right to access and use the Services will immediately cease; (b) we may delete or deactivate your account and all related information and files associated with your account; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
You may terminate your account at any time by contacting us at [email protected]. Termination of your account will not relieve you of any obligations incurred prior to termination, including payment obligations for completed orders.
14. Changes to Terms
We reserve the right to modify, update, or revise these Terms of Service at any time at our sole discretion. When we make material changes to these Terms, we will notify you by one or more of the following methods: (a) posting the revised Terms on this page with an updated "Last Updated" date; (b) sending an email notification to the address associated with your account; or (c) displaying a prominent notice on our Website.
Changes to these Terms become effective immediately upon posting to the Website unless otherwise stated. It is your responsibility to check these Terms periodically for changes. We will not be liable to you or any third party for any modifications to these Terms made in accordance with this section.
15. Severability
If any provision of these Terms is found by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or void under applicable law, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, shall be severed from these Terms.
The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect. The parties agree that the court or arbitrator shall attempt to give effect to the parties' intentions as reflected in the modified or severed provision.
16. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or additional terms and conditions published by us on the Website, constitute the entire agreement between you and Chuys with respect to your use of the Website and Services, and supersede all prior and contemporaneous agreements, understandings, negotiations, or discussions, whether oral or written, between you and us concerning the subject matter hereof.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
17. Force Majeure
We shall not be liable for any failure or delay in performance of our obligations under these Terms arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, governmental actions, labor disputes, supply chain disruptions, power outages, internet outages, or failures of third-party service providers.
In the event of a force majeure event, we will make reasonable efforts to notify you and to resume performance as soon as practicable under the circumstances. Orders that cannot be fulfilled due to force majeure events will be refunded in accordance with our standard refund policy.
18. Electronic Communications
By using our Website and Services or communicating with us electronically, you consent to receive electronic communications from us, including emails, text messages, and notices posted on the Website. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
